1. Introduction & Acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and Sentriqo IT Solutions Private Limited ("Company," "we," "our," "us"), a company incorporated under the Companies Act, 2013, having its registered office in India.

Tutionwale ("Platform") is a product owned and operated by the Company. By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms are governed by and construed in accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and other applicable laws of India.

2. Description of Services

The Platform provides a Software-as-a-Service (SaaS) tuition management solution offering:

• Student enrollment and batch management
• Biometric and manual attendance tracking with real-time parent notifications
• Fee structure management, invoice generation, and online payment collection
• Communication tools (SMS, email, WhatsApp notifications)
• Student and parent portal for viewing attendance, invoices, and announcements
• Public-facing website with blog for each tuition centre
• Analytics, reporting, and administrative dashboards
• API access for mobile application integration

3. Eligibility & Account Registration

3.1 Eligibility

• You must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872
• If registering on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms
• Student/parent portal access is available to all ages but is governed by the tuition centre's consent mechanisms

3.2 Account Obligations

• You must provide accurate, current, and complete information during registration
• You must maintain and promptly update your account information
• You are solely responsible for maintaining the confidentiality of your login credentials
• You are liable for all activities occurring under your account
• You must notify us immediately of any unauthorised use of your account

4. Subscription Plans, Fees & Payment

4.1 Free Trial

New tuition centre accounts receive a complimentary trial period with access to core features. No payment information is required during the trial. The trial period and features are as displayed at the time of registration.

4.2 Paid Subscriptions

• Subscription fees are payable monthly or annually as per the selected plan
• All prices are denominated in Indian Rupees (₹/INR) and are inclusive of GST at applicable rates
• Payments are processed through RBI-authorised payment gateways (e.g., Razorpay)
• Recurring subscriptions via UPI or other methods will auto-renew unless cancelled before the renewal date
• The Company reserves the right to revise prices with a minimum of 30 days prior written notice

4.3 Refund & Cancellation Policy

• Refund requests must be made within 7 days of purchase, provided the services have not been substantially utilised
• Refunds, if approved, will be processed to the original payment method within 7–10 business days
• After 7 days, no refunds shall be issued for the current billing period
• You may cancel your subscription at any time; the service will remain active until the end of the current billing period
• No pro-rata refunds are provided for mid-cycle cancellations

This refund policy is in compliance with the Consumer Protection (E-Commerce) Rules, 2020.

5. User Obligations & Acceptable Use

You agree to the following while using the Platform:

• Use the Platform only for lawful purposes and in accordance with these Terms
• Not upload, transmit, or distribute malicious software, viruses, or harmful code
• Not attempt to gain unauthorised access to other user accounts, servers, or systems
• Not use automated bots, scrapers, or similar tools to extract data from the Platform
• Not misrepresent your identity or affiliation with any person or entity
• Not share your login credentials with unauthorised individuals
• Not use the Platform to send unsolicited communications or spam
• Obtain appropriate consent from parents/guardians before entering student personal data
• Comply with all applicable laws, including the IT Act, 2000 and DPDP Act, 2023

6. Data Ownership & Responsibility

• You retain full ownership of all data you upload, enter, or generate on the Platform ("User Data")
• You grant the Company a limited, non-exclusive licence to process User Data solely for the purpose of providing the services
• You are solely responsible for the accuracy, legality, and appropriateness of all User Data
• You are responsible for obtaining necessary consents from students, parents, and staff before uploading their data
• The Company is not liable for claims arising from incorrect, incomplete, or unauthorised data entered by you
• Upon account termination, you may request an export of your User Data within 30 days

7. Intellectual Property Rights

• The Platform, including its source code, design, user interface, logos, trademarks, and documentation, is the exclusive intellectual property of Sentriqo IT Solutions Private Limited
• No right, title, or interest in the Platform's intellectual property is transferred to you
• You may not copy, modify, reverse engineer, decompile, distribute, or create derivative works of the Platform without prior written consent
• Tutionwale and the Company logo are registered/unregistered trademarks of Sentriqo IT Solutions Private Limited

8. Service Availability & Uptime

• We endeavour to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service
• Scheduled maintenance windows will be communicated in advance via email or Platform notification
• The Company shall not be liable for service interruptions due to force majeure events, including natural disasters, power outages, government actions, pandemics, or third-party service failures

9. Limitation of Liability

To the maximum extent permitted under applicable Indian law:

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill
• The Company's total aggregate liability for any claims arising from or related to the Platform shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim
• The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including fitness for a particular purpose or merchantability

10. Indemnification

You agree to indemnify, defend, and hold harmless Sentriqo IT Solutions Private Limited, its directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms or applicable laws
• Your infringement of any third-party rights
• Any data entered by you on the Platform

11. Account Suspension & Termination

The Company reserves the right to suspend or terminate your account, without prior notice, if:

• You violate any provision of these Terms
• Subscription fees remain unpaid beyond the grace period
• Your account is involved in fraudulent, illegal, or malicious activities
• Your account has been inactive for more than 12 consecutive months
• Required by law or government order

Upon termination, your access to the Platform will be revoked. You may request a data export within 30 days of termination, after which data will be permanently deleted in accordance with our Privacy Policy.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

12.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms:

• The parties shall first attempt to resolve the dispute amicably through good faith negotiations within 30 days
• If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996
• The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties
• The seat and venue of arbitration shall be New Delhi, India
• The language of arbitration shall be English
• Subject to the above, the courts in New Delhi, India, shall have exclusive jurisdiction

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and Security Policy, constitute the entire agreement between you and the Company with respect to the use of the Platform, superseding all prior oral or written agreements, communications, or understandings.

15. Amendments

The Company reserves the right to amend these Terms at any time. The revised Terms will be posted on this page with an updated "Last updated" date. Where changes are material, registered users will be notified via email at least 15 days in advance. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance thereof.
